Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the website, agentic AI system, program materials, and related services (collectively, the “Services”) provided by ai4tax(“ai4tax”, “we”, “us” or “our”). By accessing or using the Services, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Nature of the Services

The ai4tax Services include an agentic AI system that can autonomously plan, reason across multiple steps, invoke tools, retrieve information, and perform actions in order to assist with tax-related workflows. Outputs from the agentic AI system may include analyses, summaries, draft documents, computations, recommendations, and automated actions taken on your behalf where you have authorised such actions.

The Services are provided for informational and productivity purposes only. They are not a substitute for professional tax, legal, accounting, or financial advice. You are solely responsible for any decisions made or actions taken based on outputs from the Services.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. If you use the Services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and “you” refers to both you and that organisation.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorised use of your account.

3. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Services in violation of any applicable law or regulation;
  • Submit to the Services any content that is unlawful, infringing, defamatory, obscene, or that violates the rights of any third party;
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying models, weights, or training data of the Services;
  • Use the Services to develop or train any competing AI system or large language model;
  • Circumvent, disable, or otherwise interfere with the security, rate limits, access controls, or safety features of the Services;
  • Use the Services to generate content that facilitates fraud, tax evasion, money laundering, sanctions evasion, or any other illegal activity;
  • Upload or transmit malicious code, malware, or any content intended to disrupt the Services;
  • Use the Services to make automated high-stakes decisions affecting individuals without appropriate human oversight; or
  • Resell, sublicense, or otherwise commercialise the Services without our prior written consent.

4. Authorised Actions by the Agentic AI

Certain features of the Services allow the agentic AI system to take actions on your behalf (for example, sending messages, calling APIs, reading or writing files, or interacting with third-party systems you have connected). By granting the agent permission to act, you acknowledge and agree that:

  • You are solely responsible for the scope of permissions you grant and for any actions taken by the agent within those permissions;
  • Agentic AI systems are probabilistic and may produce unexpected, incorrect, or incomplete outputs or actions;
  • You will implement appropriate human oversight, review, and approval processes for any actions that are irreversible, material, or have legal or financial consequences;
  • You will maintain independent backups of any data the agent is permitted to modify; and
  • You will revoke access promptly if you no longer wish the agent to act on your behalf.

5. User Content and Inputs

“User Content” means any data, text, files, documents, prompts, or other materials that you submit to the Services. You retain all rights in your User Content. You grant ai4tax a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, and display your User Content solely for the purpose of providing, maintaining, and improving the Services, subject to our Privacy Policy.

You represent and warrant that (i) you have all rights necessary to submit the User Content, (ii) the User Content does not infringe any third-party rights, and (iii) the User Content does not include any personal data or confidential information that you are not authorised to share.

6. AI Outputs

“Outputs” means the content generated by the Services in response to your inputs. Subject to your compliance with these Terms and applicable law, ai4tax assigns to you all right, title, and interest it may have in the Outputs. You acknowledge, however, that:

  • Due to the nature of machine learning, similar or identical Outputs may be generated for other users and we make no claim of exclusivity over such similar Outputs;
  • Outputs may be inaccurate, incomplete, outdated, or misleading and should be independently verified before use;
  • Outputs do not constitute legal, tax, accounting, financial, or professional advice; and
  • You are solely responsible for evaluating Outputs for fitness for your intended purpose and for complying with any disclosure, attribution, or regulatory requirements applicable to your use of the Outputs.

7. Intellectual Property

The Services, including all software, models, documentation, design, text, graphics, and trademarks, are owned by ai4tax or its licensors and are protected by intellectual property laws. Except as expressly permitted in these Terms, no right or licence is granted to you in respect of the Services.

8. Third-Party Services

The Services may rely on or integrate with third-party platforms, APIs, or AI model providers. Your use of such third-party services may be subject to separate terms and conditions. ai4tax is not responsible for, and makes no warranties regarding, any third-party services.

9. Fees and Payment

Some Services may be offered on a paid basis. Applicable fees, billing cycles, and payment terms will be specified at the time of purchase or in a separate order form or agreement. All fees are non-refundable unless otherwise stated.

10. Confidentiality

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information (and in no event less than reasonable care), and to use such confidential information only for the purposes of performing under these Terms.

11. Data Protection

Our collection, use, and disclosure of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy sets out how we comply with the Singapore Personal Data Protection Act 2012.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, ai4tax disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted or error-free operation. ai4tax does not warrant that the Outputs will be accurate, complete, current, or suitable for any particular purpose.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall ai4tax, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services, whether based on contract, tort, strict liability, or any other legal theory, and whether or not ai4tax has been advised of the possibility of such damages.

To the maximum extent permitted by law, ai4tax's aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to ai4tax in the twelve (12) months preceding the event giving rise to the claim and (b) one hundred Singapore dollars (SGD 100).

14. Indemnification

You agree to defend, indemnify, and hold harmless ai4tax and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms or applicable law; or (iv) actions taken by the agentic AI system within the permissions you granted.

15. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, that your use poses a security or legal risk, or that suspension or termination is otherwise necessary. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC in force at the time, which rules are deemed to be incorporated by reference. The seat of arbitration shall be Singapore, the tribunal shall consist of one arbitrator, and the language shall be English.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms on this page with a new effective date. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.
